Terms and Conditions

Hi, we are Meetical, a software and service company with the vision to make every business meeting count. Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Meetical Confluence Apps, the Meetical WebApp, the Meetical Chrome Extension, the Meetical Outlook Add-in and our website at meetical.io (the "Service") operated under the agency of Meetical Software GmbH ("us", "we", "our", "Licensor", "Meetical").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and our Privacy Policy. These Terms apply to all visitors, users and others who access or use the Service ("you", "customer", "Licensee").

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

How Meetical works

Meetical provides its services by plugging into existing software solutions, including but not limited to Atlassian Confluence, Google Calendar, Google Chrome, Firefox, Microsoft Outlook Web and Desktop. Furthermore we provide an independent cloud service which interacts with the previously mentioned parts of our software.

Our cloud service is designed as a pass-through system, creating, modifying and syncing data on systems you own and operate, including but not limited to your Calendar system and Atlassian Confluence. Our design goal is to excel in said operations, without permanently storing any of your data on our own systems.

Our cloud service is a necessary component also for the Confluence Server product line. Confluence must be accessible from the internet, or made accessible to our service by special firewall rules.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding any password, token or API-Key ("authorization data") that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your authorization data to any third party. You are entirely responsible for maintaining the security of Your authorization data and agree not to disclose such to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Once you gain access to our systems, create an account or log in, you may be able to download parts of our software and use our software as a service (SaaS). To support you and resolve errors, we may require some help, to give us some information or update the software to continue to use it .

License grant

Meetical grants to Licensee a limited, non-exclusive, non-transferable, revocable license to intellectual property rights to use the Software and access the Service

By downloading, installing or registering a part of our service you're not actually acquiring ownership of the item itself, only the license to use that Item.

Licensee can obtain a valid commercial license over the Atlassian Marketplace, an online marketplace for cloud and downloadable software applications by Atlassian.

Licensee can obtain a fully featured evaluation license for the duration of 30 days over the Atlassian Marketplace. For enterprise customers we may extend this period up to 90 days.

The license includes software updates without any additional costs. Licensee is responsible for regularly updating any parts of the Software, including but not limited to Browser Extensions, Office Add-ins and the Confluence App itself.

After the period of included updates, Licensee must renew his license in order to continue to use the Service. Parts of the software, such as macros on existing Confluence pages may continue to work without a valid active license, but no guarantee and support can be given by Meetical without a valid license.

The Licensee shall indemnify Meetical against all damages, losses and expenses arising as a result of any action by the Licensee infringing Meetical intellectual property rights.

Privacy and other Policies

Use of the Services is also subject to our Privacy Policy. The Privacy Policy and Beta Disclaimer(link) are incorporated into these Terms by this reference. Additionally, You understand and agree that Meetical may contact You via e-mail or otherwise with information relevant to Your use of the Services, regardless of whether You have opted out of receiving marketing communications or notices.

Beta Services

We may, from time to time, offer access to services that are classified as Beta version. Access to and use of Beta versions is subject to our Beta Agreement. Meetical makes no representations that a Beta version will ever be made generally available and reserves the right to discontinue or modify a Beta version at any time without notice. Beta versions are provided AS IS, may contain bugs, errors or other defects, and Your use of a Beta version is at Your sole risk.

Information Collection And Use

We collect several different types of information for various purposes to provide and improve our Service to you.

Types of Data Collected

Personal Data

While using our Service, we may ask you to provide us with certain personally identifiable information that can be used to contact or identify you ("Personal Data"). Personally identifiable information may include, but is not limited to: Email address, First name and last name, Phone number, Address, Cookies and Usage Data.

Security & access tokens

To access your Calendar and Confluence data we use OAuth, an industry standard security protocol. After you grant us a temporary, revocable access, we will store "tokens" in order to access your systems on your behalf and provide our service. OAuth allows you to revoke access to any of your systems at any time without, without our consent.

To communicate between parts of our software (such as our Browser Extension and our Cloud Service), we use API keys with JWT and digital signatures and secure http connections (SSL/TLS).

Operational data - Calendar, Confluence, Metadata

We do not store any calendar data, event details and confluence page details (“operational data”) on our permanent databases. Instead, we request secure access to your systems on your behalf, and store such data on your own systems. Furthermore we do not store or access data outside of the scope necessary to provide our service. Where necessary, we might store identifiers to your data, such as event IDs and page IDs .

We store operational data as metadata on your systems to successfully provide our service. Such data is designed to be accessed by Meetical Software components only. No guarantee on the internal structure of such data is given. 3rd party providers shall not modify or process such data directly without our prior consent.

While we do not store any operational data on our databases, we might use portions of event details for debugging and logging purposes. Please see the section "Log files" below for more details.

Data from your Atlassian Account

If you use Atlassian Cloud products, we may store your Atlassian ID and other attributes and preferences such as your time zone, language and formatting settings.

Log files & Caching

We use Log files ("Logs") to monitor and improve our services. While we do not store any raw data on our databases beyond the necessary scope to provide our service, we might use portions of your data for the purposes of our legitimate interests, including but not limited to event details and confluence page details for debugging and logging purpose. These logs are secured, permanently rotated and deleted on a regular basis.

Moreover, we use Caching Technologies to improve the performance of our systems, where the same principles as for our Logs apply. Such systems, like in-memory databases, might temporarily hold any processed data.

Content

You acknowledge that Meetical has no control over any content sent on the Service by you and does not purport to monitor the content of the Service. We reserve the right to remove content from the Service where it reasonably suspects such content is inappropriate content (e.g. material which is obscene, indecent, pornographic, seditious, offensive, defamatory, threatening).

Warranties

The Service is provided “as is”. We make no further warranties, whether expressed or implied, and hereby disclaim and negate all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or other violation of rights infringement.

In particular, but without limitation, we make no guarantee or warranty in relation to our third parties who are acting independently from us, and we cannot guarantee or warrant that their products or services, such as their official APIs, will be error-free or fully performant at all times.

Limitation of Liability

Neither party shall be liable under or in connection with these terms or any collateral contract for any: loss of revenue, loss of actual or anticipated profits, loss of contracts, loss of the use of money, loss of anticipated savings, loss of business, loss of opportunity, loss of goodwill, loss of reputation, loss of, damage to or corruption of data; or any indirect or consequential loss, resulting from or related to: (i) the use or inability to use or access the Service, including any content, product, services, offerings, information or other material available through the services, (ii) any errors or omissions in the Service, (iii) the suspension or termination of your ability to access the services, (iv) any interruption or cessation of transmission to or from our site or failure of our systems, (v) the cost of procurement of substitute goods or services, (vi) statements or conduct of any third party using the site, (vii) any bugs, viruses or the like that are transmitted to or through our WebApp or any Service by any third party, or (viii) any other matter or event relating to your or any other party's use of the Service.

Confidentiality

Licensor and Licensee agree to keep non-publicly available sensitive information confidential by all means. This includes but is not limited to any technical information (including all specifications, drawings and designs), confidential business information, contract extensions, discounts, upcoming features and planned marketing activities.

This obligation should not apply to confidential information when the information is or has become publicly known other than through breach of this clause; was received from an independent third party who has full right of disclosure; or was required to be disclosed by a governmental authority.

Reference

Meetical might use your contact data to reach out to you and send you information related to our products and services during evaluation, active usage and after a license expires. Licensee can inform Meetical to stop sending such information - Licensee have the right to object at any time to receiving such information. Where Licensee objects to receiving this information, Licensee’s personal data shall no longer be processed for such purposes.

Licensee agrees that Meetical may name you as a customer and reference as of conclusion of our Terms. Meetical might use publicly available reviews or ask Licensee to provide additional material, statistics, logos, or information that is not deemed confidential to Licensee’s business for use in press releases, customer testimonials, and as a reference in marketing and sales initiatives by Meetical. Licensee can redeem such right upfront or anytime with a 30 days notice period.

Data Protection

Under the European data protection legislation (GDPR), we are a data controller regarding the information processed for our own purposes, which is the personal data collected via our website or from you to provide you with our Service. We are a data processor on your behalf for the personal data captured to provide the Service.

Links To Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by Meetical.

Meetical has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Meetical shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Termination

If any issue arises, we strongly believe communicating ahead of time will solve it. This means that, if we feel that you are not complying with these Terms, we will reach out to you to find a solution. If corrective actions are available, we will recommend these to you. If we do not reach a compromise on the issue leading to a violation of these Terms, as determined by us, we may terminate or suspend access to our Service immediately, without prior notice.

Upon termination, whether it has been decided by us or by you, your right to use the Service will immediately cease. However, all provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

You may use our self-service functions or contact support@meetical.io to delete any of your accounts and remove any data related to you.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Governing Law & Jurisdiction

These Terms shall be governed, construed and enforced in accordance with the laws of Zurich, Switzerland, without regard to its conflict of law provisions.

Each party irrevocably agrees that the courts of Zurich, Switzerland, shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these terms or its subject matter or formation.

Entire Agreement

This Agreement constitutes the entire and only agreement between the parties and all other prior negotiations, representations, agreements, and understandings are superseded hereby. No agreements altering or supplementing the terms hereof may be made except by means of a written document signed by the duly authorized representatives of the parties.

Modifications

Licensor will actively inform you about any changes to these Terms & Conditions. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please contact us immediately and discontinue using the Service.
